These terms and conditions (“T&Cs”) shall govern all purchase orders (“POs”) issued by TechNova Printrite Products Pvt. Ltd. (“TPPPL” or “the Company”). By accepting the PO, the vendor/supplier (“Vendor”) acknowledges and agrees that these T&Cs shall form an integral and binding part of the contract between the parties, irrespective of whether these are reproduced in the PO or merely referred to by hyperlink.
Purchase Orders are computer generated, so signature not required.
These T&C’S are deemed to be accepted by the Vendor unless specifically objected in writing within seven (7) days of receipt of PO. Once accepted the Vendor shall not have the right to cancel the order.
SECTION I: SUPPLY OF MATERIALS & GENERAL TERMS
- The Vendor shall supply goods/services in accordance with all applicable laws, including Covid-19 guidelines, environmental norms, and restrictions on hazardous/banned substances.
- All deliveries shall be made on a free delivery basis to TPPPL’s premises unless otherwise stated.
- Time is of the essence. Any delay in compliance may result in cancellation without liability.
- Defective/rejected/expired goods shall be held at the Vendor’s risks and must be promptly lifted at the Vendor’s risk and cost.
- TPPPL may cancel or amend the PO without liability prior to dispatch from Vendor’s warehouse.
- Vendor warrants no IP infringement of any patent, trademark, design, etc.
- Packaging must be appropriately numbered and documented.
- Any over-supply or wrong supply is at Vendor’s risk and may be returned at their cost.
- Vendor agrees that TPPPL is entitled to set-off any prior payment or liability against any amount payable under this or any other contract.
- Acceptance of goods does not waive TPPPL’s rights in case of non-compliance.
- Delay in payments owing to non-compliance shall not deprive TPPPL of any applicable discount.
- Payments shall be made by online transfer or cheque. Bank charges borne by Vendor.
- TPPPL may cancel or amend any order before dispatch without liability.
- TPPPL assumes no risk in relation to goods wrongly supplied or different from those ordered.
- Prices must be inclusive of all applicable taxes/duties/cess unless stated otherwise.
- Any excess taxes recovered from TPPPL must be refunded by the Vendor.
- Force Majeure applies — TPPPL not liable for non-acceptance due to unforeseeable events.
SECTION II: EPR (Single Use Plastics)
Terms & Conditions for Single Use Plastics
- Vendor must comply with statutory rules on Single Use Plastics, including PWM Rules, 2016.
- Packaging must comply with:
- Plastic packaging (bags, sheets, cushions) must be 50 microns minimum.
- Polystyrene/Thermocol is strictly prohibited.
- Use of foams is prohibited.
- Stretch wrap films must be avoided.
SECTION III: GST & E-WAY BILL COMPLIANCE
A. Statutory Compliance & Documentation
- Tax Compliance: Vendor shall comply with all GST laws and file returns on time.
- Invoice Requirements: Must issue GST invoice with IRN & E-Way Bill when applicable.
- Advance & Refund Vouchers: Must issue as required under GST.
B. Input Tax Credit (ITC) & Reconciliation
- ITC Enablement: Vendor must provide correct tax documents.
- Mismatch Resolution: Vendor must resolve GST mismatches promptly.
- ITC Loss Indemnification: Loss of ITC due to Vendor fault to be reimbursed.
- Reimbursement: Any GST-related penalty on TPPPL due to Vendor must be reimbursed by Vendor.
C. Payment & Recovery Rights
- TPPPL may withhold payment for GST mismatches or pending discrepancies.
- TPPPL may recover wrongfully paid amounts from Vendor.
- Penalty recovery invoices issued by TPPPL must be paid along with applicable GST.
D. Compliance Ratings & Risk
- TPPPL may cancel the contract if Vendor is blacklisted or has low compliance rating.
E. Tax Deduction
- TDS will be deducted as per GST/Income Tax and certificates will be issued timely.
- Vendor must pass GST rate reductions to TPPPL.
F. Invoice Accuracy & Place of Supply
- Vendor must ensure correct GSTIN (Bill To & Ship To) and accurate HSN codes.
- Correct Place of Supply must be declared as per GST law.
SECTION IV: SPECIAL CONDITIONS FOR CHEMICALS, EQUIPMENT, AND VEHICLES
Chemicals & Substances:
- Updated MSDS (16 points, less than 5 years old)
- TREM card for hazardous chemicals
- Certificate of Analysis, manufacture date, shelf life
- Proper labeling & packaging
- Scheduled carcinogen permits
- End-user declarations
Plant / Equipment (Electrical):
- Max noise level: 85 dBA
- Emergency stops, guards, safety devices
- Relevant certifications
- Installation by trained personnel
Vehicles Entering TPPPL Premises:
- Valid PUC, license, fitness certificate required
- No oil leakage; helper mandatory
Transit & Environmental Responsibility:
- Transporters are fully liable for spillage, accidents, environmental breach.
SECTION V: SERVICES
- Vendor must maintain records of materials/manpower/job execution.
- Deviation requires written approval.
- Completion subject to TPPPL coordinator’s certification.
- Delays may attract damages.
- Vendor liable for damages caused by their personnel.
- Vendor must follow labour laws, ESI, PF, WC Act.
- Vendor responsible for safety gear & compliance.
- TPPPL may suspend work if safety arrangements inadequate.
- Misconduct by Vendor staff requires immediate replacement.
- Vendor indemnifies TPPPL for statutory/legal breaches.
SECTION VI: LEGAL ENFORCEABILITY
- These T&Cs override any contradictory Vendor terms unless agreed in writing.
- Any contrary communication does not affect enforceability.
ONLINE ACCESSIBILITY & ACCEPTANCE
These Terms & Conditions shall be available on [TPPPL’s designated online portal/link]. Reference to the hyperlink in the PO shall be deemed sufficient notice to the Vendor.
By accepting the Purchase Order or supplying goods/services to TPPPL, the Vendor agrees to these Terms & Conditions in full.
